Viterra - Investors - Corporate Governance

	Thomas Birks Board Chair Birinco Inc. President Board committee: Nominating/Corporate Governance Thomas Birks joined Viterra's Board of Directors in March 2005 and was elected as Chair in April, 2008. Currently, he is the President of Birinco Inc., a small merchant bank with investment portfolios ranging from private equity to passive investments. His Board experience is diverse, having served as a Board member of numerous corporations, educational institutions, hospitals and foundations.
	Vic Bruce President, Sunrise Farms Ltd. Board Committee: Audit, Safety, Health & Environment As a member of Viterra's Board of Directors, Vic Bruce is part of the leadership team that provides direction for the corporation.
	Thomas S. Chambers Senior Partner Services Ltd. Board Committees: Audit (Chair), Compensation Mr. Chambers joined Viterra's Board of Directors in June 2006. He is an experienced professional accountant, senior executive, corporate director and business advisor, most notably having served for 26 years as a Partner in senior management roles with PricewaterhouseCoopers LLP.
	P.W. (Paul) Daniel Board Committees: Audit Committee Paul Daniel serves on the Board’s Audit Committee. Prior to joining the Viterra Board he was a Director of ABB Grain. Paul was elected to the ABB Grain board in 2006 and served as a member of the Finance and Audit Committee.
	Bonnie DuPont Board Committees: Safety, Health & Environment (Chair), Compensation Bonnie DuPont joined Viterra’s Board of Directors in March, 2008. She recently retired from Enbridge Inc. in Calgary where she was Group Vice President, a role in which she was accountable for the Corporate Resources function, Information Technology, Public & Government Affairs, Human Resources, Governance and Corporate Social Responsibility.
	P.R. (Perry) Gunner Deputy Chairman Board Committees: Nominating/Corporate Governance Perry Gunner is Viterra’s Deputy Chairman and will serve on Viterra’s Nominating/Corporate Governance Committee. Prior to joining the Viterra Board Mr. Gunner was appointed to the ABB Grain Board and as Chairman on 27 September 2004. Prior to his appointment he was Deputy Chairman of AusBulk (1997-2004).
	T.J. (Tim) Hearn Chairman, Hearn and Associates Board Committee: Nominating/Corporate Governance (Co-chair), Compensation T.J. (Tim) Hearn joined Viterra’s Board of Directors in May 2008 and is the Co-chair of the Nominating/Corporate Governance committee and serves on its Compensation Committee. Mr. Hearn served as Chairman, President and Chief Executive Officer of Imperial Oil Limited from the time of his appointment in 2002 to his retirement in 2008. Mr. Hearn is presently the Chairman of Hearn and Associates.
	Dallas Howe DSTC Inc. Board Committees: Compensation (Chair), Nominating/Corporate Governance Dallas Howe joined Viterra's Board of Directors in March 2005. He served in a management role with GE Medical Systems Information Technology, which acquired the company he formerly owned, BDM Information Systems.
	K.G. (Kevin) Osborn Board Committees: Audit; Safety, Health & Environment Kevin Osborn is a member of the Viterra Board Audit Committee and the Safety, Health and Environment Committee. Prior to joining the Viterra Board he was a Director of ABB Grain. Mr. Osborn is Deputy Chairman of the Bendigo and Adelaide Bank Limited where he chairs the Credit Committee and is a member of the Audit and Risk Committees.
	Larry Ruud President & CEO, One Earth Farms Corp. Board Committees: Audit, Safety, Health & Environment Larry Ruud joined Viterra's Board of Directors in March 2008 and serves on its Audit and Safety, Health & Environment Committees. He was a partner with Meyers Norris Penny LLP from 2000 until 2009, and has provided farm management consulting services in Western Canada for the past 15 years.
	M.F. (Max) Venning Board Committees: Compensation Max Venning is a member of the Viterra Board Compensation Committee. Prior to joining the Viterra Board he was a Deputy Chairman of ABB Grain. Mr. Venning was a previous director of AusBulk and United Grower Holdings Ltd. (2002 – 2004) and was Chairman of AusBulk in 2004.
	Herb Pinder Jr. Goal Group of Companies, President Board Committees: Nominating/Corporate Governance, Audit Herb Pinder joined the Board of Directors in March 2003 and is a member of the Nominating/Corporate Governance and Audit Committee. Mr. Pinder is President of the Goal Group of Companies, which provides corporate governance and investment management services with a particular focus on oil and gas private equity. Formerly the President of Pinders Drugs, he has 25 years of experience as a director.
	Mayo Schmidt President and Chief Executive Officer Mayo Schmidt is President and Chief Executive Officer, as well as a Director of Viterra. Leading the company, Mr. Schmidt has established a strong foundation for the Company’s growth. With a strategic and disciplined approach, Mr. Schmidt and his Corporate Management Team have positioned Viterra as a leader in shaping the future of agriculture, and expanding Viterra’s reach and influence in North America and abroad.
